The Board of Trustees of the Caixa d’Estalvis i Pensions de Barcelona, ”la Caixa”, Banking Foundation has appointed Isidro Fainé as its Chairman.
Isidro Fainé, Chairman of ”la Caixa” and the ”la Caixa” Foundation since 2007, has led the expansion of ”la Caixa”, which is now the leading retail bank in Spain. He has also overseen its conversion into a banking foundation, which was completed on June 16 when the Caixa d’Estalvis i Pensions de Barcelona, ”la Caixa”, Banking Foundation was inscribed in the Foundations Register.
Isidro Fainé has been CaixaBank's Chairman since 2009 and a member of its board of directors since 2000. He is also the Deputy Chairman of Telefónica, Deputy Chairman of Abertis and Repsol, and is a member of the boards of directors of Banco BPI and The Bank of East Asia.
The Board of Trustees of the ”la Caixa” Banking Foundation comprises: Francisco Javier Ventura Ferrero (appointed by Sociedad Económica Barcelonesa de Amigos del País, a founder of ”la Caixa”), Eugeni Gay Montalvo (appointed by Cáritas Diocesana de Barcelona), Antoni Aguilera Rodríguez (appointed by Cruz Roja Española), Javier Solana Madariaga, Jaime Lanaspa Gatnau, Salvador Alemany Mas; Josefina Castellví Piulachs, Francesc Homs Ferret, César Alierta Izuel, Carlos Slim Helú, Maria Teresa Bassons Boncompte, Javier Godó Muntañola, Juan José López Burniol and Alejandro García-Bragado Dalmau, alongside its Chairman, Isidro Fainé Casas.
Alejandro García-Bragado Dalmau, new Deputy Chairman
At the first meeting of the Board of Trustees of the ”la Caixa” Banking Foundation, members agreed to appoint Alejandro García-Bragado as the new Deputy Chairman of the foundation, as well as Jaume Giró, as its new CEO.
Alejandro García-Bragado is a trustee of the ”la Caixa” Banking Foundation and Secretary of the ”la Caixa” Foundation's board of trustees. He has also been Secretary to CaixaBank's board of directors since May 2009.
Alejandro García-Bragado graduated in Law from the University of Barcelona and is a State Attorney who is currently on leave of absence. He has worked as the Barcelona Stock Exchange’s legal advisor and Secretary to the board of directors of its governing company, while continuing to practice law.
In 1995, he was appointed as Deputy Secretary of ”la Caixa” and took over as Secretary to the board in 2003. A year later, he was elected as a deputy director of this entity. In recent years, Mr. García-Bragado has handled legal affairs related with the corporate restructuring of ”la Caixa”.
He was General Secretary of CaixaBank from July 2011 to May 2014 and has also been Secretary to the board of directors of La Maquinista Terrestre, Abertis Infraestructuras and Inmobiliaria Colonial, and a number of other companies.
Jaume Giró, new CEO
Jaume Giró, the new CEO of the ”la Caixa” Banking Foundation and Criteria's Head of Communications, joined ”la Caixa” as an executive officer in March 2009, responsible for the Group's Communications, Institutional Relations, Brand and Social Corporate Responsibility departments. He was subsequently appointed Deputy Managing Director of CaixaBank and the ”la Caixa” Foundation.
Mr. Giró is a graduate in Information Sciences from the University of Navarra and also received a Degree in Business Administration and Management from the ESADE Business School. He has always been linked to the ”la Caixa” Group throughout his busy professional career. Before joining this entity, he served as Managing Director of Communication and Head of the Chairman's Office of Repsol, Chairman of Petrocat, board member at Petronor, Director of External Relations at Gas Natural, and a member of the management committees at both Repsol and Gas Natural.
He also holds the post of Deputy Chairman of the Spanish Association of Communications Directors (DIRCOM), sit on the management board of Sociedad Económica Barcelonesa de Amigos del País (SEBAP), and acts as Chairman of the Barcelona Tribuna debating forum.
Leading foundation in mainland Europe
The ”la Caixa” Banking Foundation has a charitable fund of €5,868 million (equal to 0.6% of Spain's current GDP) and net assets of €20,000 million. It will manage a welfare projects budget of €500 million. The ”la Caixa” Banking Foundation has become the leading foundation in mainland Europe and third largest in the world after the Bill & Melinda Gates Foundation (United States) and the Wellcome Trust (United Kingdom).
The transformation into a banking foundation involves dissolving and liquidating the current ”la Caixa” Foundation and the en bloc transfer of its assets and liabilities to the ”la Caixa” Banking Foundation. The stake in CaixaBank held by ”la Caixa” will also be transferred to Criteria CaixaHolding (a solely-owned subsidiary of ”la Caixa”), whereby the Banking Foundation will indirectly hold a stake in CaixaBank through Criteria, along with the debt instruments issued by ”la Caixa”. It is planned that the spin-off will be completed in the last quarter of 2014.
The ”la Caixa” Banking Foundation will perform the following main activities: management of the entire welfare projects budget, economic activities relating to management of its stake in CaixaBank, administration of the debt instruments issued by ”la Caixa”, and management of investments in non-financial sectors held by Criteria CaixaHolding.
